GROUP COACHING AGREEMENT

This Coaching Agreement is made between Kate Roberts Consulting (herein referred to as “The Company”) and  yourself (herein referred to as “The Client”), whereby the Company will provide Coaching Services, identified as business-to-consumer e-commerce. Upon submitting payment, you (“The Client”) agree to be provided with products, programs and services by Kate Roberts (“The Coach”), acting on behalf of Kate Roberts Consulting (“The Company”), and you are entering in to a binding agreement with the Company. Both the Company and the Client hereby agree to abide by all policies and procedures as outlined in this agreement, including the following terms and conditions:

CONTEXT AND ROLES

Coaching is a process in which the Coach serves as a strategic partner of the Client to explore goals, barriers, action steps and accountability plans for moving forward. Coaching is client-focused and client-driven with the Client choosing their priorities and action steps. The Coach serves to provide perspective, create focus, clarify intention, motivate and build accountability through empowering the Client. The Coach and the Client recognize the purpose of the Coaching relationship and that the process is for the Client to explore their goals and create change based on the Client’s choice. The Coach and the Client agree to focus on what the Client wants, exploring options and challenges, developing strategies, defining action steps, and for accountability. The Coach does not provide advice of any kind. The Coach may brainstorm with the Client or share examples for perspective, and the Client makes all choices and decisions for themself. The Coach and the Client are both expected to enter into the Coaching Agreement with integrity and intention of completion of agreed-upon sessions.

 

COACHING PROCEDURE AND EXPECTATIONS

1.     The Client’s information and communications shall be confidential. The Coach must disclose information brought to their attention that is an unreported crime or a threat of harm.

2.     All Group Coaching sessions will be conducted via Zoom Video Conferencing, the Client will be provided with the link via email confirmation prior to the scheduled session. It is the Client’s responsibility to ensure they have access to appropriate technology to facilitate the link.

3. The Company highly recommends and intends to record Group Coaching sessions, making the recordings available to the Client (and all participants of the unique Group Coaching class) for the purpose of their own reflection and development. This is subject to the unanimous agreement of all participants within the unique Group Coaching class.

4.     The series of Group Coaching sessions are all pre-scheduled. Rescheduling or substitution of a missed session is not available for Group Coaching. If the unique Group Coaching class has agreed to recording the sessions, the participants will be provided with the recording link within 24 hours after the session. If the unique Group Coaching class has not agreed to recording the sessions, and provided that the Client provides a minimum of 12-hour notice to the Coach, an attempt to schedule a brief 15-minute Summary Call will be made, however will be subject to availability in the Coach’s schedule and cannot be guaranteed.

5.     Each Group Coaching session is scheduled for a set time-frame that will be strictly adhered to for the purpose of the Coaching Program. The link will be open approximately 10-15 minutes before AND after the session for unstructured Q&A time. The Client is expected to be on-time for each session. If the Client is late, it is understood that no session time will be taken for the Client to catch-up during the active session.

6.     The Coach will maintain brief session notes, only for the purpose of their Coaching Log and will not be provided to participants. When the Group Coaching Program relationship is complete, the Coach will only keep the notes for six months after which the only file retained is a general abstract and this agreement.

7.     The Coach will provide the Client with a post-session email that may include supplemental links, resources and recommendations. The Client is invited to email the Coach in response to, or independently from, the post-session email for individual coaching support in-between the sessions as related to the Group Coaching topical content.

8. The Client will be invited to join a private Facebook group for additional support in-between and beyond the Group Coaching sessions. It is at the discernment of the Company to continue or dissolve the Facebook group, or to merge with the other existing Facebook groups. Should the Company make any changes to the initially presented structure and/or purpose of the Facebook Group, the Client will be notified with a minimum of 1 month.

9.     If there is something that could be perceived as a conflict of interest, the Coach will identify this to the Client and explore interest in continuing the Group Coaching and/or discuss appropriate alternatives.

 

CONFIDENTIALITY

The Coaching relationship is built on trust. The Company agrees that the Coach will keep all conversations and information provided by the Client private and confidential. No personal ideas, information or thoughts expressed by the Client will be shared with anyone except with the written permission of the Client. The Coach is not protected by doctor-client confidentiality. The Client agrees to hold any and all information shared by other participant-clients in the unique Group Coaching class in strictest confidence, including but not limited to: session recordings, group activities, facebook group interactions, individual notes, proprietary information, and personal contact information.

  

CLIENT RESPONSIBILITY

The Client accepts and agrees that the Client is 100% responsible for their progress and results from the Coaching program. The Company makes no representations, warranties or guarantees verbally or in writing. The Client understands that because of the nature of the program and extent, the results experienced by each Client may significantly vary. While the Client’s participation is voluntary, the Client understands that their participation level have significant impact on how they experience the Group Coaching Program as well as their results and level of satisfaction.

  

DISCLAIMER

The Coach is not an attorney, doctor, manager, counselor, psychotherapist, dietician, financial analyst or accountant and does not give advice. The Client understands that a relationship does not exist between the parties after the conclusion of the Coaching program. If the Client and the Coach continue their Coaching relationship, a separate agreement will be entered into.

  

INTELLECTUAL PROPERTY RIGHTS

In respect of the documents specifically created for the Group Coaching program, the Company maintains all of the copyright, including other intellectual property rights and any other data or material used or subsisting in the material whether finished or unfinished. Nothing in this Agreement shall transfer ownership of or rights to any intellectual property of the Company to the Client, nor grant any right or license other than those stated in this Agreement.

LIMITATION OF LIABILITY

The Client agrees that they enter into the agreement at will and shall use the Company’s services at their own risk. The Client releases the Company, from any and all damages that may result from any claims arising from any agreements, actions, causes of action, costs, demands and damages of any nature or kind in law or in equity arising from participation in the Coaching program. The Coach and the Client mutually agree to indemnify and hold each other harmless from any and all claims arising out of the Coaching relationship except those willfully, intentionally, and knowingly intended to cause harm to another.

  

PAYMENT

Upon execution of this Agreement, the Client agrees to pay to the Company the full purchase amount. The Company does not offer refunds, with the intention of ensuring the Client is fully committed to the entirety of the Group Coaching program. If an unforeseen circumstance occurs that causes the Client to quit the program, the Coach may decide to partially refund at her discretion and is described below under ‘Termination.’ 

TERMINATION

The Company is committed to providing the Client with a positive Coaching experience. By purchasing this service, the Client agrees that the Company may, at its sole discretion, terminate this Agreement, and limit, suspend, or terminate the Client’s participation without refund if the Client fails to follow the discussed guidelines, is difficult to work with, or upon violation of the above terms as determined by the Company. In the event that the Coaching program is terminated by the Company, for any reason (emergency, conflict of interest), the Client is entitled to a prorated refund of the unused portion of the paid fee. In the event that the Client has extenuating circumstances that impede their capacity to complete the Coaching program, the Client may discuss options with the Company to either defer or transfer unused sessions.

 

ETHICAL CONSIDERATION

The Coach is a member of the International Coach Federation (ICF) and is accountable to the ICF Code of Ethics, which can be accessed at: https://coachfederation.org/code-of-ethics. The Coach may pursue additional credentialing with the ICF, which calls for submitting a log of coaching hours. The Client hereby gives permission for the Coach to include their name, email, telephone, and the coaching hours for this purpose only.
